Enterprise Terms
1. How these terms fit
1.1 These Enterprise Terms apply to every Enterprise order placed with CLIQER LTD (Cliqer) by an organisation (Customer). They add to the Cliqer Terms and Conditions (the Terms). Words defined in the Terms have the same meaning here.
1.2 The Order is the order confirmation Cliqer sends for an Enterprise purchase: the products, the number of seats where they are sold per seat, the term and the price.
1.3 If documents conflict, this order applies: the Order, then these Enterprise Terms, then a signed Data Processing Agreement for the processing of personal data, then the Terms.
2. What Enterprise includes
2.1 Single sign-on. Customer's people sign in to Cliqer through Customer's identity provider over SAML 2.0 or OpenID Connect.
2.2 Provisioning. SCIM 2.0 creates, updates and removes Customer's Cliqer accounts from Customer's identity provider.
2.3 Onboarding. Cliqer sets up single sign-on and provisioning with Customer's IT team after the order.
2.4 Cliqer Timer Enterprise includes Cliqer Timer Premium for Customer's organisation, with unlimited rooms, timers and messages and up to 200 devices connected to each room at once.
2.5 Cliqer Enterprise on a desktop plan includes the plan named in the Order for each seat, with a minimum of 2 seats. The plan's own features, limits and inclusions apply, including Cliqer Timer Premium where the plan includes it.
3. Licence
3.1 Cliqer Timer Enterprise is licensed to Customer's organisation for one yearly price, for any number of host computers, for Customer's own staff and events.
3.2 Desktop plans are licensed per seat. Each seat licenses one computer at a time.
3.3 Customer may not resell the services or provide them to third parties as a service.
4. Term, renewal and cancellation
4.1 An Enterprise subscription runs for 12 months from activation and renews for further 12 months unless Customer cancels before the renewal date, in the dashboard or by email to info@cliqer.io.
4.2 The price in the Order is fixed for the first 12 months. Cliqer gives at least 30 days' notice before a renewal at a different price.
4.3 Termination for breach and the effect of termination follow the Terms.
5. Fees and payment
5.1 Fees are charged yearly in advance, by card at checkout or, where the Order says so, against Customer's purchase order and Cliqer's invoice on the payment terms in the Order.
5.2 Any purchase order administration fee is shown in the Order. Card orders carry none.
5.3 Prices exclude taxes. Cliqer issues a VAT invoice for every payment. Refunds follow the Terms.
6. Customer's responsibilities
6.1 Customer configures its identity provider, decides who has access, and keeps its user list current.
6.2 Room role links grant access to whoever holds them. Customer keeps them confidential and replaces them when someone who held one leaves.
7. Data protection and security reviews
7.1 Cliqer signs its Data Processing Agreement on request, or reviews and countersigns Customer's.
7.2 Cliqer answers Customer's vendor security questionnaire and provides its security documentation as part of Customer's vendor review, under confidentiality.
8. Service
8.1 Availability, warranties and liability follow the Terms. Support is by email at info@cliqer.io.
9. Governing law
9.1 These Enterprise Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless the Order states otherwise.
